Biography

Paige is a solicitor qualified in Scotland and has extensive UK corporate law experience. She has advised a diverse range of clients, from start-up businesses to multi-million-pound enterprises, as well as high-net-worth investors both in the UK and internationally. 

Relevant Experience

  • £6m structured investment (equity & loan notes) — Scottish Manufacturing Company: Executed a £6m structured investment into a newly incorporated vehicle established to provide shareholder liquidity and replacement capital. Led on drafting and negotiating key transaction documentation, including loan note instruments and an investment agreement. Managed communications and negotiations on the investor side, ensuring alignment of interests and timely execution. Reviewed disclosures and ensured quality assurance, safeguarding investor protections while facilitating a smooth closing process.
  • Acquisition of EnviroCentre, a leading Scottish multi-disciplinary environmental consultancy (75 professionals across Glasgow, Edinburgh, Inverness and Aberdeenshire), by Cura Terrae’s Land & Nature division. Supported EnviroCentre through its sale to Cura Terrae, marking the buyer’s largest transaction to date. Key contributions included shaping the disclosure process, assuring quality across legal documentation and facilitating constructive dialogue between parties. Strengthened sector expertise in environmental services and mid-market M&A.
  • Employee Ownership Trust (EOT): Advised R&W Scott, a 144-year-old Scottish-based ingredients supplier, on transitioning to an EOT structure which enabled employees to benefit from the company’s future growth without direct ownership. This move safeguarded the company’s independence and ensured long-term growth.
  • Advised Nevis Capital LLP on its investment into a fourth-generation Scottish manufacturing business with global operations across the UK and 14 international offices. This transaction provided growth capital and strategic support to strengthen the company’s management team and expand its European and global presence.
  • Acquisition out of Administration: Assisted the Managing Partner in providing legal counsel to a high-net-worth Scottish businessman in relation to the acquisition of Spirit Label Solutions out of administration, securing the company’s future and allowing for significant financial growth. All 16 employees were transferred under TUPE, protecting their jobs in the Scottish whisky labelling sector. The transaction was completed in seven days and curated a very strong solicitor-client relationship and the client continues to instruct the firm on most of their legal matters.
  • Carcinotech £4.2M Funding Round: Advised on a £4.2 million funding round for Carcinotech, a female-founded medical technology company based in Edinburgh - this investment was vital in facilitating the business’ expansion into the US market. Worked directly with investors, including EOS Advisory, Scottish Enterprise, and the British Business Bank, who invested £750,000 in equity.
  • £3.5M Fundraise for woodland regeneration: Led the disclosure process for a £3.5 million investment to support a Scottish company developing innovative fungal pellet technology for woodland regeneration, forest productivity, and carbon capture. Coordinated communications with global investors like ReGen Ventures, Collaborative Fund and Grok Ventures.
  • £435K Innovate UK funding for a medical tech company: Facilitated a £435,000 funding round from Innovate UK for the development of a soft robotic glove for stroke rehabilitation, aimed at helping patients regain hand function. The funding supported trials and market launch plans in the US and UK.
  • Wobble Genomics £8.5M funding round: Led the disclosure process for Wobble Genomics, a spin-out from the University of Edinburgh, in securing £8.5 million in funding for RNA sequencing technology. The investment was led by BGF and Mercia Ventures, with support from IQ Capital, EOS Advisors, and Old College Capital, the University of Edinburgh’s venture fund.
  • Offshore Transactions: Collaborated with offshore legal teams on the sale of a UK business to an international investor, involving a Cayman Islands holding company. Drafted investment agreements and shareholder documentation, ensuring compliance with UK and Cayman Islands regulations, addressing tax, governance, and regulatory issues.
